WHO THIS AGREEMENT IS WITH The Kuules software ("the Software") is made and licensed by Calm Base Oy, a limited company registered in Finland, business ID 2972990-3, registered office in Jyvaskyla, Finland ("Calm Base", "we", "us"). Contact: support@kuules.com Web: https://kuules.com "You" means the person or organisation installing or using the Software. Kuules is a trademark of Calm Base Oy. 2. AGREEING TO THIS LICENCE By installing or using the Software you accept this agreement. If you do not accept it, do not install the Software, and remove any copy you have. The Software is licensed to you, not sold. Calm Base keeps ownership of the Software and of all intellectual property rights in it. Rights not granted to you here stay with Calm Base. 3. THE THREE WAYS YOU MAY BE USING KUULES Kuules is distributed in three forms and your rights differ between them. Which one applies to you depends on what you installed and whether you hold a licence key. 3.1 KUULES OPEN -- the free tier Kuules Encode, Kuules View and Kuules Downmix are provided free of charge. No key, no registration, no time limit. You may install and use these on as many devices as you control, for personal or commercial work, including in a business or an institution. You may not sell them, charge for them, or distribute them as part of a paid product. You may not present them as your own work. Calm Base may add plugins to, or remove plugins from, the free tier in future releases. A version you have already installed stays usable under this agreement; nothing here lets us reach back and withdraw a copy you already hold. 3.2 THE EVALUATION PERIOD -- the trial The paid plugins run fully featured for twenty-one (21) days from the first time any Kuules plugin runs on a device. The trial is for evaluating the Software before buying it. After twenty-one days, an unlicensed paid plugin periodically inserts an audible tone into its output. It is not disabled and your projects will still open, but it is no longer usable for production work. You may not defeat, remove or work around this behaviour, and you may not distribute a modified copy that does so. One trial per person, not one per reinstall. If you need longer to evaluate the Software properly, write to support@kuules.com and ask; we would rather extend the trial than have you decide on incomplete information. 3.3 A PAID LICENCE A paid licence is granted when we issue you a licence key after payment. It is perpetual: it does not expire, and it does not need renewing. A licence key is issued to a named person or organisation and carries that name. It is personal to you. Do not publish it, share it, or post it anywhere it can be copied. If your key is used by other people, that is a breach of this agreement by you, whether or not you did the copying. A licence covers what its Product line names -- a single plugin, or a named bundle. Bundles cover the plugins in that bundle at the time you bought it. Plugins released later are not automatically included; see clause 6. DEVICE LIMIT. A named licence permits installation and use on up to three (3) devices that you personally use. If you need more, contact us. SITE AND INSTITUTIONAL LICENCES. Organisations requiring a defined number of seats are licensed under a separate written agreement with Calm Base, which is agreed in advance and which overrides the device limit above. Contact support@kuules.com. EDUCATIONAL LICENCES. An educational licence is a full perpetual licence at a reduced price, available to students and to teaching staff at recognised institutions. It may not be transferred or resold, and it may not be used for commercial production work. 4. WHAT YOU MAY NOT DO You may not: (a) reverse engineer, decompile or disassemble the Software, except to the extent Finnish or European Union law expressly permits despite this clause; (b) modify the Software, or create derivative works from it; (c) remove or alter any copyright notice, trademark or attribution in the Software or its documentation; (d) circumvent or attempt to circumvent the licence check or the trial period, or distribute tools or instructions for doing so; (e) rent, lease, lend or sublicense the Software, or make it available as a hosted or online service to third parties; (f) redistribute the Software, whether free of charge or not, other than as clause 3.1 expressly allows for Kuules Open. 5. WHAT YOU MAKE WITH IT IS YOURS Calm Base claims no rights of any kind in the audio, sessions, presets or other material you produce using the Software. You owe us no royalty, no credit and no notification. Use it on anything you like, commercially or otherwise. 6. UPDATES, VERSIONS AND CHANGES Minor updates -- corrections and small improvements within the same major version -- are included in your licence at no cost. MAJOR VERSIONS. A new major version of a plugin is a separate product and is not included in your licence. Where one is released, holders of a licence for the previous major version will be offered an upgrade price. Nothing obliges Calm Base to release any particular update or new version, on any particular schedule, or at all. Calm Base may change, add to or discontinue plugins, features and product tiers. Software you have already installed and licensed continues to work under the terms it was licensed under. 7. TRANSFERRING A LICENCE A paid licence, other than an educational or review licence, may be transferred to another person. A transfer fee applies; the current fee is stated at kuules.com. To transfer a licence, write to support@kuules.com with the buyer's full name and email address. We issue a new key to the buyer and send you instructions for removing the licence from your devices. On transfer, your own rights under this agreement end: you must follow those instructions, stop using your key, and remove the Software. Continuing to use a transferred licence is a breach of this agreement. A bundle licence may be transferred only as a whole. It cannot be split into the individual plugins it contains. Educational licences and review copies may not be transferred. 8. REVIEW AND PRE-RELEASE COPIES Copies supplied for review, testing or evaluation by press, testers or partners are provided for that purpose only. They may not be sold or transferred, and pre-release builds may not be redistributed or publicly described where we have asked in writing that they not be. 9. PRIVACY AND WHAT THE SOFTWARE DOES NOT DO The Software does not contact Calm Base or any other server. It does not phone home, does not check your licence online, does not collect telemetry or analytics, and does not transmit anything about you, your projects or your computer anywhere. Licence verification happens entirely on your own machine, using information stored locally on that machine. Nothing about you, your projects or your computer is transmitted anywhere. Where you buy from us, payment is processed by our reseller and payments are handled under that reseller's own privacy terms; we receive your name, email address and what you bought, and we use them to issue your key and to answer your support requests. 10. SUPPORT Calm Base provides support by email at support@kuules.com and makes reasonable efforts to answer. Support is provided for the current major version. We may stop supporting older major versions. Refunds, invoices, VAT questions and payment problems are handled by the reseller who took your payment, not by Calm Base directly. Where the law gives you a statutory right of withdrawal, that right applies and is not affected by this agreement. 11. THIRD-PARTY COMPONENTS AND TRADEMARKS The Software includes third-party components used under permissive licences. They are listed, with their licences and required attributions, in THIRD-PARTY-LICENSES.txt, installed alongside the Software and reachable from the "?" button in every Kuules interface. Those components remain governed by their own licences. VST is a trademark of Steinberg Media Technologies GmbH. CLAP is an open standard. Other names are the trademarks of their respective owners. 12. NO WARRANTY TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND CALM BASE OY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. CALM BASE DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT IT WILL RUN UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. This clause does not limit rights you have as a consumer under mandatory Finnish or European Union consumer law, which apply regardless of what this agreement says. 13. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALM BASE OY IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST WORK, LOST RECORDINGS, LOST DATA OR BUSINESS INTERRUPTION, ARISING FROM THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY. CALM BASE'S TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. FOR SOFTWARE PROVIDED FREE OF CHARGE, THAT AMOUNT IS ZERO. Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded. NOTE ON LOUD OUTPUT. The Software processes and generates audio, including in the unlicensed state described in clause 3.2. Always protect your ears and your monitoring equipment, and keep levels sensible when auditioning unfamiliar material. 14. ENDING THIS AGREEMENT This agreement lasts until ended. It ends automatically if you materially breach it -- for example by circumventing the licence check, or by distributing your key. If that happens you must stop using the Software and remove it from your devices. You may end it at any time by removing the Software. Clauses 4, 5, 11, 12, 13 and 15 survive the end of this agreement. 15. GOVERNING LAW This agreement is governed by the laws of Finland, excluding its conflict of law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. Disputes are to be heard by the District Court of Keski-Suomi (Keski-Suomen karajaoikeus), Finland. If you are a consumer resident in the European Union, this does not deprive you of the right to bring proceedings in the courts of your own country of residence, or of the protection of mandatory consumer law there. 16. GENERAL If any clause is found unenforceable, the rest stays in force and the unenforceable clause is applied as closely to its intent as the law allows. Calm Base not enforcing a term on one occasion does not waive it. This agreement is the whole agreement between you and Calm Base about the Software, and replaces any earlier understanding about it. It does not override a separate written agreement signed by Calm Base, such as a site licence. Calm Base may update this agreement for future releases.
